XPEDILAB’S BUSINESS TERMS
(for XpediPro)

Welcome to Xpedilab, a multi-sided digital marketplace platform that facilitates connection between individuals or entities (each, a “User”) and independent third-party service providers, including lab technicians (each, a “Provider”), for specimen collection (the “Services”).
This Business Terms, together with the User Agreement, the Third Party Provider Agreement, the White Label Platform License Agreement and the Privacy Policy (collectively the “Agreement”) sets forth the terms and conditions under which Xpedilab Inc.’s Services are being licensed or otherwise made available to Consumers and Business Customers and constitutes a legally binding agreement between you (herein the “Consumer” or “Business Customer”) and Xpedilab Inc., a Delaware corporation (“Xpedilab” “we” “our” “us”) (collectively, the “Parties”). The Agreement governs your access to and use of the Xpedilab platform (the “Platform”) and any associated Services.
Please read the Agreement (including the User Agreement, the Third-Party Provider Agreement, the Business Terms, the White Label Platform License Agreement and the Privacy Policy) carefully prior to accepting, using or accessing any of Xpedilab, Inc.’s Services.
BY USING AND ACCESSING THE PLATFORM AND SERVICES, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY THIS AGREEMENT.
Subscription; Seats; Order. Upon acceptance of an online Order, Xpedilab grants Business Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access the Admin Console and provision [__X__] Seats, solely to schedule and manage phlebotomy logistics between Business Customer and its clients. Seat reassignment is permitted for role or staffing changes. Usage may be subject to reasonable limits displayed in the Admin Console.

Auto-Renewal; Pricing Changes. Plans renew monthly. Xpedilab may modify pricing effective on renewal with prior notice in the Admin Console or by email to [•].

Taxes. Fees are exclusive of taxes; Business Customer is responsible for all sales/use/VAT/GST or similar taxes (other than taxes on Xpedilab’s net income). Where required, Xpedilab may collect and remit taxes.

White-Label; Marks. If enabled, Xpedilab may display Business Customer’s name and marks within the Platform and in customer lists. Business Customer grants a limited, revocable license for that purpose. No ownership transfers.

Independent Providers; No Medical Services. Xpedilab is not a healthcare provider or laboratory and does not employ or supervise Providers. Business Customer is solely responsible for its own personnel/contractors, compensation, supervision, licensure, insurance, and compliance.

Data; Privacy; PHI. The parties do not intend for Xpedilab to receive PHI. Business Customer will not submit PHI absent Xpedilab’s prior written consent and execution of a separate BAA. Business Customer will obtain all consents required by law for data it inputs and will use the Admin Console consistent with Xpedilab’s Privacy Policy.

Security; Access Controls. Business Customer will implement reasonable safeguards, enable MFA, manage roles/permissions, promptly deactivate departed users, and keep billing/contacts current.


Support; Availability. Xpedilab provides standard web-based support during business hours and commercially reasonable efforts to maintain availability. XpediPro is provided “AS IS” consistent with this Agreement’s disclaimers and limitations.

Suspension/Termination. Xpedilab may suspend or terminate XpediPro access for breach, non-payment, security risk, or unlawful conduct. Either party may terminate effective at the end of the current monthly term. Upon termination, Business Customer will cease use and may export permitted data within thirty (30) days.

Order of Precedence. If these Business Terms conflict with other terms in this Agreement, the White Label Platform License Agreement control for XpediPro. Any negotiated addendum executed by both parties controls over this Agreement.

By clicking “I Agree,” placing an Order, or using the Platform, you affirm you are (i) a Consumer accepting the Consumer portions of these Terms; or (ii) an authorized representative accepting the Business Terms for the Business Customer identified in the Order.
